AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Perimatics, Inc. (“Perimatics,” “we,” “us,” or “our”), regarding your access to and use of the public-facing website available at www.perimatics.com, including any related subdomains or content (collectively, the “Site”).


Perimatics is a corporation registered in Washington State, United States, with its principal office located at 13701 NE Bel Red Rd #103, Bellevue, WA 98005.


By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree with all of these terms, you are prohibited from using the Site and should discontinue access immediately.
These Terms apply only to use of the Site, and not to Perimatics’ products or services, which are governed by separate agreements between Perimatics and its clients.


We may revise or update these Terms of Use from time to time. When we do, we will update the “Last Updated” date at the top of this page. Continued use of the Site after such updates constitutes acceptance of the revised Terms.


The Site is intended for use by individuals aged 18 years or older. The Site is not designed to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA, and should not be used to transmit any sensitive personal or regulated data. Any such interactions should occur through official channels as defined in our client contracts.


If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with any applicable local laws.

 

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise noted, the Site and all content contained on it — including but not limited to text, graphics, logos, icons, images, audio, video, data, software, page layout, and design (collectively, the “Content”) — as well as all associated trademarks, service marks, and logos (“Marks”), are the property of Perimatics, Inc. or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws in the United States and internationally.


Perimatics provides the Content and the Site “as is” for informational and non-commercial use only. Except as explicitly permitted in these Terms of Use, you may not:
•    Reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit any Content or Marks, in whole or in part, for commercial use;
•    Use any data mining, scraping, or automated methods to extract content from the Site; or
•    Use our trademarks or branding without our prior written permission.


Subject to your compliance with these Terms, Perimatics grants you a limited, non-exclusive, non-transferable license to access and use the Site and its Content for your personal or internal business purposes only. All rights not expressly granted to you are reserved by Perimatics.

 

PROHIBITED ACTIVITIES

You may access and use the Site solely for informational purposes and in accordance with these Terms of Use. You agree not to use the Site:

  • In any manner that violates applicable laws or regulations;

  • To attempt to gain unauthorized access to any portion of the Site, its systems, or data;

  • To interfere with or disrupt the operation of the Site or its servers;

  • To copy, scrape, or aggregate content from the Site for commercial purposes without our prior written consent;

U.S. GOVERNMENT RIGHTS

If you are a U.S. government entity or are using this Site on behalf of a U.S. government entity, note that the software and documentation provided on the Site are “commercial items” as defined in 48 C.F.R. § 2.101. The use, duplication, reproduction, release, modification, disclosure, or transfer of the software or documentation is restricted by these Terms in accordance with 48 C.F.R. §§ 12.212 or 227.7202, as applicable.

 

SITE MANAGEMENT

We reserve the right, but are not obligated, to:

  • Monitor the Site for compliance with these Terms of Use;

  • Take appropriate action against any misuse of the Site, including cooperating with law enforcement if necessary;

  • Restrict or terminate access to the Site by any user who violates these Terms or disrupts its functionality;

  • Remove or limit access to content or technical activity that interferes with the performance or security of the Site;

  • Manage the Site in a manner intended to maintain its integrity, security, and accessibility.

TERM AND TERMINATION

These Terms of Use remain in effect for as long as you access or use the Site. We reserve the right, at our sole discretion and without notice, to restrict or terminate your access to the Site or any part of it at any time and for any reason, including but not limited to violation of these Terms or applicable laws.
We may also take any legal or technical action we deem appropriate to prevent misuse of the Site and to protect our systems, services, and intellectual property.

 

MODIFICATIONS AND INTERRUPTIONS

These Terms of Use are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law principles. You irrevocably agree that the courts located in King County, Washington shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or your use of the Site.

DISPUTE RESOLUTION               

Informal Resolution

Before initiating any legal proceeding, you agree to first attempt to resolve any dispute or claim relating to these Terms of Use or your access to the Site (“Dispute”) by contacting Perimatics at legal@perimatics.com and engaging in good faith negotiations for 30 days from the date of notice.

Binding Arbitration

If a Dispute cannot be resolved informally, it shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). Arbitration will take place in King County, Washington, unless otherwise agreed by the parties, and will be conducted in English.

The arbitrator shall have the authority to award any remedy available at law or in equity, subject to the limitations in these Terms. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Exceptions

The following types of Disputes are excluded from arbitration and may be resolved in court:

  • Disputes related to the enforcement or protection of intellectual property rights;

  • Claims for injunctive or equitable relief;

  • Allegations of unauthorized access, privacy violations, or security breaches.

Class Action Waiver

To the maximum extent permitted by law, all Disputes shall be resolved on an individual basis, and not as part of a class or collective action.

Governing Law and Venue

To the extent any Dispute is not subject to arbitration, it shall be resolved in the state or federal courts located in King County, Washington, under the laws of the State of Washington, without regard to conflict of law provisions. You consent to the jurisdiction and venue of such courts.
